Welcome to Chatagents.io! We're thrilled to have you here. Our goal is to provide you with an incredibly easy way to build and use AI-powered agents to automate conversations and tasks.
These Terms of Service ("Terms") outline your rights and responsibilities when using our platform and services ("Service"), operated by Xenyo Limited ("Chatagents.io," "we," "us," or "our"). By signing up, accessing, or using Chatagents.io, you're agreeing to these Terms. So, please read them carefully! If you don't agree with any part, then unfortunately, you won't be able to use our Service.
Think of these Terms as the ground rules for a productive and safe environment for everyone.
1. Your Agreement With Us
By creating an account and using Chatagents.io, you confirm that:
- You are at least 18 years old and have the legal capacity to enter into a binding contract.
- You will provide accurate, current, and complete information during registration and keep it updated.
- You agree to comply with these Terms and all applicable local, state, national, and international laws and regulations.
2. What Chatagents.io Offers (Our Service)
Chatagents.io is a Software as a Service (SaaS) platform designed to help you, especially if you're not a tech expert, to:
- Create AI Agents: Build conversational AI agents with unique names, purposes, personalities, and greeting messages.
- Teach Your Agents: Provide knowledge to your agents by adding website content, uploading files (like TXT, PDF, DOCX), entering Q&A pairs, or pasting text. This allows your agents to answer questions using Retrieval-Augmented Generation (RAG).
- Supercharge with "Agent Skill Sets": Equip your agents with abilities to perform actions and integrate with other services (like Google Sheets, Google Calendar, Email via SMTP, or custom HTTP Requests). You can use our templates or build your own Skill Sets.
- Deploy Your Agents: Easily deploy your agents on your website using our chat widget, share them via unique Shareable Agent Pages, or (coming soon!) connect them to WhatsApp.
- Manage & Improve: Use our dashboard to manage your agents, review conversations, understand performance through analytics, and test your agents in a "Playground."
- AI-Assisted Setup: Benefit from our AI Agent Builder and AI-assisted features to help you get started and configure your agents.
You'll choose an underlying Large Language Model (LLM) from a list of available third-party providers (e.g., models from OpenAI, Google, Anthropic) for your agent to use. Our platform helps you connect to and use these models.
3. Your Chatagents.io Account
- Account Security is Key: You're responsible for safeguarding your account password and for any activities or actions under your account. Please use a strong password and don't share it. Let us know immediately if you suspect any unauthorized use of your account.
- Account Plans & Subscriptions: We offer various subscription plans with different features, usage limits, and pricing, which will be detailed on our pricing page. Fees are billed in advance on a subscription basis and are non-refundable, except as explicitly stated in these Terms.
- Changes to Plans & Pricing: We may modify plan features and pricing from time to time. We'll provide you with reasonable prior notice of any changes to your existing plan that would adversely affect you.
4. Your Content & Responsibilities – What You Bring to the Service
This is about the information and materials you provide to create and train your AI agents.
- You Own Your Content: You retain all ownership rights to the content you provide to the Service, including text, files, Q&A pairs, and any data you configure for your Agent Skill Sets ("User Content").
- License to Us: To enable us to operate and provide the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, process, display, reproduce, and adapt your User Content solely for the purpose of providing and improving the Service for you. For example, we need to process your Knowledge Base documents to allow your agent to answer questions.
- Responsibility for Your Content: You are solely responsible for your User Content. This means you represent and warrant that:
- You own the User Content or have all necessary rights, licenses, consents, and permissions to use it and to grant us the rights to use it as described in these Terms.
- Your User Content does not and will not infringe, misappropriate, or violate any third party's intellectual property rights, privacy rights, publicity rights, or any other proprietary rights.
- Your User Content complies with our "Acceptable Use Policy" (see Section 6).
- Knowledge Base Accuracy: The effectiveness of your AI agent heavily depends on the accuracy and quality of the information you provide in its Knowledge Base. You are responsible for ensuring this information is accurate and up-to-date.
- Backups: Chatagents.io is not a primary data backup service. You are responsible for maintaining original copies or backups of all your User Content. We are not responsible for any loss or corruption of your User Content.
- AI-Generated Suggestions: Our "AI Agent Builder" or other AI-assisted features may provide suggestions for agent names, purposes, greetings, or other configurations. These are provided "as-is" for your convenience. You are free to use, modify, or disregard these suggestions. Once you adopt and implement any configuration, you take full responsibility for it.
5. Understanding Data, Privacy, and Third-Party Services
Your privacy and data security are important to us. Please also review our Privacy Policy for more details on how we collect, use, and protect your information.
- How We Use Your Account Data: We use the information you provide to create and manage your account, provide customer support, bill you for services, and communicate with you about the Service.
- Processing of Your Content for Agent Functionality:
- Your User Content (like Knowledge Base documents and Agent Purpose prompts) is processed to enable your AI agent to function, such as generating responses to end-user queries using the selected LLM.
- Your User Content is NOT used to train general AI models for other Chatagents.io users.
- Interaction with Third-Party LLMs:
- You will select an LLM provider for your agent (e.g., OpenAI, Google, Anthropic). When your agent generates responses or processes information, your User Content (like prompts derived from your Knowledge Base and end-user queries) will be sent to the LLM provider you selected.
- Chatagents.io facilitates this connection, but we do not have separate Data Processing Agreements (DPAs) with these LLM providers on your behalf for this specific processing.
- Your use of a specific LLM is subject to that LLM provider's own terms of service, usage policies, and privacy policies. We encourage you to review them carefully. For example, most leading LLM providers state they do not use API-submitted data to train their general models, but it's your responsibility to verify this with the provider you choose.
- Chatagents.io is not responsible for the data handling practices of the LLM provider you select.
- Agent Skill Sets & Third-Party Integrations (e.g., Google Sheets, Google Calendar, SMTP, HTTP Requests):
- If you configure your agent to use "Agent Skill Sets" that connect to third-party services (like Google Workspace, your email server, or other APIs), you are responsible for:
- Securely authorizing and managing these connections (e.g., via OAuth).
- Ensuring you have the right to connect these services and process any data transferred through them.
- Complying with the terms of service and API usage policies of those third-party services.
- Chatagents.io acts as a conduit for these integrations as configured by you. We are not responsible for the data once it leaves our platform to these third-party services under your instruction.
- If you configure your agent to use "Agent Skill Sets" that connect to third-party services (like Google Workspace, your email server, or other APIs), you are responsible for:
- Analytical Tools for Service Improvement:
- We utilize analytical tools such as Google Analytics, Posthog, and Microsoft Clarity to analyze user behavior and improve our platform and services. These tools collect data on how you interact with our platform, including usage patterns, navigation, and performance metrics.
- This data helps us understand how our platform is used, identify areas for improvement, and enhance the user experience. The information collected through these analytical tools is used in aggregate and does not directly identify individual users unless necessary for debugging or support purposes.
- We comply with the privacy policies and data handling practices of these analytical tool providers. Please review their respective privacy policies for more information on how they handle data.
- End-User Data & Your Responsibilities as a Controller:
- When end-users interact with your AI agent, they may provide their personal data or other information ("End-User Data").
- You are the controller of this End-User Data. This means you are responsible for how your agent collects, uses, and shares it. You must:
- Comply with all applicable data privacy laws (like GDPR, CCPA, etc.) regarding End-User Data.
- Provide any necessary privacy notices to your end-users and obtain any required consents for the collection and processing of their data by your agent.
- If you use features like "User Identification" by passing data from your website via our SDK, ensure you have a lawful basis for doing so.
- Data Security: We implement industry-standard technical and organizational measures to protect your User Content and data processed by Chatagents.io. However, no system is 100% secure, and we cannot guarantee absolute security.
- WhatsApp Channel: If you use our upcoming WhatsApp channel, you'll need to connect your own WhatsApp Business API account. This means you'll have a direct relationship with Meta (WhatsApp) and must comply with all their terms, policies, and technical requirements in addition to these Terms.
6. Acceptable Use Policy – Playing Fair
We want Chatagents.io to be a safe and productive platform for everyone. You agree NOT to use the Service to create, manage, or deploy AI agents that:
- Upload, transmit, or generate content that is illegal, unlawful, or unauthorized.
- Infringe upon or violate someone else's intellectual property rights (e.g., copyrights, trademarks).
- Promote, create, or distribute harmful, malicious, abusive, harassing, defamatory, libelous, threatening, obscene, pornographic, or sexually explicit content.
- Promote violence, hate speech, discrimination based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic.
- Engage in, promote, or facilitate illegal activities, including but not limited to gambling where prohibited, or the sale of illicit substances.
- Spread misinformation, disinformation, or fraudulent content.
- Attempt to or actually breach our security measures, exploit vulnerabilities, or disrupt the Service or its infrastructure.
- Scrape, crawl, or download content from websites (via the Knowledge Base URL feature or otherwise) without proper authorization or ownership of that content.
- Exceed reasonable request rates, bypass any rate-limiting mechanisms, or otherwise place an undue burden on our systems or the systems of our third-party providers (including selected LLMs or integrated services).
- Attempt to reverse engineer, decompile, or otherwise compromise the Service's functionality or its underlying technology (except as permitted by applicable law).
- Collect, process, or store highly sensitive personal information through your agents, such as financial account numbers (credit cards), government-issued identifiers (like Social Security Numbers or passport numbers), or specific categories of health information (Protected Health Information under HIPAA), unless you do so in full compliance with all applicable laws and regulations (e.g., PCI DSS, HIPAA) and assume all associated risks and responsibilities. Chatagents.io is not designed or intended to be a compliant solution for these types of data by default.
- Create or distribute any other content or engage in any activity that Chatagents.io, in its sole discretion, deems inappropriate, harmful, or contrary to our mission of providing a positive and productive tool.
We reserve the right to investigate violations of this Acceptable Use Policy and may suspend or terminate your account immediately if we find, in our sole discretion, that you have violated these terms.
7. Fees, Payments, and Renewals
- Subscription Fees: You agree to pay all applicable fees for your chosen subscription plan as described on our pricing page or as otherwise agreed with us.
- Billing Cycle: Subscription fees are charged in advance on a recurring basis (e.g., monthly or annually). Your subscription will automatically renew at the end of each billing cycle unless you cancel it through your account settings4 or by contacting us before the renewal date.
- Payment Method: You must provide a valid payment method. By providing payment information, you authorize us (or our third-party payment processor) to charge all subscription fees due to your payment method.
- Price Changes: We reserve the right to change our subscription fees. We will provide you with at least 30 days' notice of any fee changes before they become effective. Your continued use of the Service after the fee change constitutes your agreement to pay the modified fee amount.
- No Refunds: Payments are non-refundable, except as required by law or as explicitly stated in these Terms (e.g., Section 10.2 for Service Discontinuation). There are no refunds or credits for partially used periods or if you downgrade your plan. Downgrades take effect at the end of the current billing period.
- Taxes: You are responsible for all applicable taxes (like sales tax, VAT, or GST) associated with your subscription, excluding taxes based on our net income.
8. Intellectual Property Rights
- Our Platform, Our IP: Chatagents.io and all its underlying technology, software, design, features, functionality, branding, logos, and content (excluding Your User Content and End-User Data) are and will remain the exclusive property of Xenyo Limited and its licensors. You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code of that software, except as laws permit.
- Your Content, Your IP: As stated before, you retain ownership of Your User Content.
- Chatbot Conversations & Training Data (Specific to Your Agent): You own the conversations your agent has with end-users and the specific training data you provide for your agent (Your User Content). We maintain all rights to our underlying platform technology that enables these interactions.
- Feedback is Welcome: If you provide us with any feedback, suggestions, or ideas about the Service ("Feedback"), you grant us a worldwide, perpetual, irrevocable, royalty-free license to use, modify, and incorporate that6 Feedback into our Service without any obligation or compensation to you. We appreciate your input!
9. Service Availability & Support
- "As-Is" and "As-Available": We strive to keep Chatagents.io running smoothly, but the Service is provided on an "AS-IS" and "AS-AVAILABLE" basis. We don't make any warranties (express or implied) about uptime, reliability, security, or error-free operation.
- Modifications & Interruptions: We reserve the right to modify, suspend, or discontinue any part of the Service with or without notice, for maintenance, updates, or any other reason. We will try to notify you of planned significant disruptions when feasible. We are not liable for any downtime or service interruptions.
- Technical Support: We offer technical support, primarily via email (support@chatagents.io) and through self-service resources (like FAQs or documentation we may provide). Support levels may vary depending on your subscription plan.
10. Termination of Your Account
- Termination by You: You can stop using the Service and cancel your account at any time through your account settings or by contacting us. Cancellation will be effective at the end of your current billing period, and you will not be charged for the next billing cycle. No refunds will be issued for any remaining portion of the current billing period.
- Termination by Us: We may terminate or suspend your access to our Service immediately, without prior notice or liability, for any reason whatsoever, including but not limited to:
- If you breach8 these Terms, especially the Acceptable Use Policy (Section 6).
- For non-payment of fees.
- Upon request from law enforcement or other government agencies.
- If your use of the Service poses a security risk to us or other users.
- If we believe your actions may cause legal liability for us or others.
- Any other reason we deem necessary to protect the integrity of our Service or our users.
- Effect of Termination: Upon termination, your right to use the Service will cease immediately.
- If we terminate your account for reasons other than your breach of these Terms (e.g., if we decide to discontinue a specific service feature not covered under "Service Discontinuation" below), any refund considerations will be at our sole discretion. If granted, refunds would typically not exceed the pro-rata amount of unused prepaid fees for the then-current billing period.
- If we terminate your account due to your breach of these Terms, you will not be entitled to any refund.
- You are responsible for exporting any User Content or End-User Data you wish to retain before termination, where such export functionality is provided.
- Service Discontinuation: If we decide to discontinue the entire Chatagents.io Service, we will attempt to provide you with at least thirty (30) days' prior notice (when feasible, via email or a notice on our platform). In such an event, you will be entitled to a prorated refund of any prepaid fees for the portion of the Service that was not rendered due to the discontinuation. You will be responsible for exporting your data before the termination date.
11. Disclaimers and Limitation of Liability – Important Stuff!
Please read this section carefully as it limits our liability.
- AI is a Tool, Not a Human: You understand and agree that AI agents, including those built on Chatagents.io, operate based on complex algorithms and the data they are trained on (including your User Content and the selected LLM's capabilities).
- No Guarantees of Accuracy or Outcomes: AI-generated responses or actions can sometimes be inaccurate, incomplete, offensive, or unexpected. We make NO WARRANTIES regarding the accuracy, reliability, completeness, or appropriateness of any output generated by your AI agent or the underlying LLMs.
- You Are Responsible for Your Agent: You are solely responsible for testing, reviewing, and monitoring your AI agent's behavior and responses to ensure they meet your requirements and are appropriate for your end-users. You are liable for the actions and outputs of the agents you build and deploy using our Service.
- General Disclaimer of Warranties: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CHATAGENTS.IO PROVIDES THE SERVICE "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING (BUT NOT LIMITED TO) ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.
- Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL XENYO LIMITED, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- (a) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE;
- (b) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OR RELATED TO THE SERVICE (INCLUDING YOUR SELECTED LLM PROVIDER OR INTEGRATED SERVICES);
- (c) ANY CONTENT OBTAINED FROM OR GENERATED BY THE SERVICE (INCLUDING YOUR AI AGENT'S RESPONSES); OR
- (d) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. IN NO EVENT SHALL XENYO LIMITED'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF ONE HUNDRED HONG KONG DOLLARS (HKD 100.00) OR THE TOTAL AMOUNTS YOU PAID TO US FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY.
THE LIMITATIONS IN THIS SECTION APPLY EVEN IF A REMEDY SET FORTH IN THESE TERMS IS FOUND TO HAVE FAILED ITS ESSENTIAL PURPOSE.
12. Indemnification
You agree to defend, indemnify, and hold harmless Xenyo Limited and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:
- Your use of and access to the Service;
- Your violation of any term of these Terms;
- Your violation of any third-party right, including without limitation any intellectual property right, privacy right, or right of publicity;
- Any claim that your User Content or the actions of your AI agent caused damage to a third party (including your end-users).
This indemnification obligation will survive the termination of these Terms and your use of the Service.
13. Changes to These Terms
We may update these Terms from time to time to reflect changes in our Service, legal requirements, or for other reasons. If we make material changes, we will notify you (for example, by posting a notice on our website, through the Service interface, or by sending an email to the address associated with your account) reasonably in advance of the changes taking effect.
Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you don't agree to the new terms, you should stop using the Service.
14. Governing Law & Dispute Resolution
- Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region (HKSAR), without regard to its conflict of law provisions.
- Informal Dispute Resolution: We want to address your concerns without needing a formal legal case. Before filing a claim against Chatagents.io, you agree to try to resolve the dispute informally by contacting us at support@chatagents.io with a clear description of your concern. We'll try to resolve the dispute informally by contacting you via email. Most disputes can be resolved this way.
- Arbitration (If Informal Resolution Fails):
- If a dispute is not resolved within sixty (60) days after submission for informal resolution, you or Chatagents.io may initiate binding arbitration.
- Any dispute, controversy, difference, or claim arising out of or relating to these Terms, including the existence, validity, interpretation, performance, breach, or termination thereof or any dispute regarding non-contractual obligations arising out of or relating to it shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted.
- The law of this arbitration clause shall be Hong Kong law. The seat of arbitration shall be Hong Kong. The number of arbitrators shall be one. The arbitration proceedings shall be conducted in English.
- Exceptions to Arbitration: Notwithstanding the foregoing, either party may bring a lawsuit solely for injunctive relief to stop unauthorized use or abuse of the Service, or intellectual property infringement without first engaging in arbitration or the informal dispute-resolution process described above.
- No Class Actions: You may only resolve disputes with us on an individual basis and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action.
15. General Provisions
- Entire Agreement: These Terms (along with our Privacy Policy and any other specific agreements you enter into with us, like a DPA if applicable in the future for other services) constitute the entire agreement between you and Xenyo Limited regarding our Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.
- Severability: If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
- No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver of any provision of these Terms will be effective only if in writing and signed by us.
- Assignment: You may not assign any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms freely.
- Notices: We may provide notices to you either by email to the address associated with your account, by posting on our website, or through the Service interface. Notices we send will be deemed effective when sent (for email) or when posted.
